Latest personnel moves at Bank of New York Mellon, HMS Holdings and MasterCard

1) J. Kevin McCarthy will become executive vice president and general counsel for The Bank of New York Mellon Corp. on April 15, reporting to chairman and CEO Gerald Hassell. He will also become a member of the BNY Mellon Executive Committee. McCarthy, who has been serving as senior deputy general counsel, replaces Jane Sherburne, who is considering opportunities in both the public and private sectors.>

McCarthy joined BNY Mellon in 2010 from Cowen Group, an investment bank and financial services firm where he served as general counsel. From 2004 to 2007, he was a partner at Wilmer Hale, focusing on securities and litigation matters. Between 1996 and 2004, McCarthy held several leadership roles at Credit Suisse First Boston, including global head of litigation.

BNY Mellon credits Sherburne, who joined the company in 2010, with improving the quality of the legal and government affairs functions, building a first-rate in-house global team, and with helping the company successfully navigate a variety of complex issues and respond to historic legal and regulatory changes globally.


2) Gene DeFelice was named executive vice president, general counsel and corporate secretary of HMS Holdings Corp. on March 24, reporting to president and CEO William Lucia. HMS Holdings, through its subsidiaries, coordinates benefits and program integrity services for healthcare payers.

Lucia said he expects DeFelice’s years of front-line operations and business experience to make him ‘a particularly great partner for our management team as we focus on strategic growth opportunities, product development, and market expansion.’

DeFelice has spent more than two-thirds of his 30-plus-year legal career in corporate healthcare and technology. Most recently he served as Barnes & Noble’s general counsel and corporate secretary and filled the same dual role at several healthcare and technology companies. He holds a J.D. from Seton Hall University School of Law and an M.B.A. from Webster University in Geneva, Switzerland.

3) The Main Street America Group has appointed corporate counsel Kimberly Law as assistant secretary. She will report to Bruce Fox, vice president, general counsel and secretary of the super-regional property/casualty insurance carrier.

As corporate counsel, Law represents Main Street America at department of insurance and other administrative hearings, and also monitors and reports on regulatory trends within the company’s four regions. She produces a quarterly federal and state legislative and regulatory update for the board of directors.

Before joining Main Street America as corporate counsel in May 2013, Law was a consultant in the company’s law department. She has been a litigation associate at Jacksonville, Fla., law firms such as Fowler White Boggs Banker.

Law earned her J.D. degree at the Florida State University College of Law and a bachelor’s degree in sports management at the University of Richmond.


4) MasterCard has appointed Tim Murphy as general counsel and chief franchise officer, effective April 1. Murphy, who is also joining the company’s executive committee, succeeds Noah Hanft, who announced his retirement in February.

Murphy, who has been serving as chief product officer, joined MasterCard in 2000 and became senior vice president and associate general counsel in 2003. In 2006, he was named group executive for customer business planning and analysis, and served as president of the company’s US region from 2007 to 2009.

Before joining MasterCard, Murphy was an associate in the New York and London offices of Cleary, Gottlieb, Steen & Hamilton, an international law firm. He graduated magna cum laude from Harvard Law School and from Amherst College.

Hanft retired March 31 after 27 years with MasterCard, where he was general counsel and chief franchise officer since 2001. In May Hanft will become president and CEO of the International Institute for Conflict Prevention and Resolution, a non-profit organization that helps global firms resolve complex commercial disputes.


Mason Morfit

5) Microsoft Corp. named Mason Morfit to its board of directors and its audit committee on March 11. He is president of ValueAct Capital, a San Francisco-based investment firm that manages more than $14 billion in assets.

In August 2013, Microsoft and ValueAct announced a cooperation agreement that gave ValueAct the option of having Morfit join Microsoft’s board at the first quarterly board meeting after the 2013 annual shareholders meeting. Before joining ValueAct in January 2001, Morfit worked in equity research for Credit Suisse First Boston.

He also serves on the board of Valeant Pharmaceuticals International. He has a B.A. from Princeton University and is a CFA charterholder.


6) True Gold Mining appointed Mischa Zajtmann as its corporate secretary on March 18, effective immediately. Zajtmann is a corporate and securities lawyer who has advised public companies. Previously, he served as an associate in the securities and corporate finance group of the Vancouver office of Blake, Cassels & Gradyon. He earned an LLB from the University of Saskatchewan in 2008.
