Latest personnel moves at Dow Chemical, Eastman Kodak and Unum Group

1) Brinker International has named Scarlett May as senior vice president, general counsel and secretary. The Dallas-based company owns, operates or franchises 1,622 restaurants under the names Chili's®Grill & Bar and Maggiano's Little Italy.

May has an extensive background in the casual dining industry. She most recently served as senior vice president, chief legal officer and secretary for Ruby Tuesday. Previously, she was an attorney at law firm Kramer Rayson in Knoxville, Tennessee.

 

2)  California Water Service Group has promoted Lynne McGhee to vice president and general counsel. McGhee, who has been with Cal Water since 2003, previously served as associate corporate counsel and corporate secretary, in which roles she advised the executive team on regulatory, commercial, real estate, risk management and other matters, and also negotiated major vendor contracts and oversaw corporate governance.

McGhee previously served as staff counsel at the California Public Utilities Commission and as legal advisor to two commissioners.

McGhee earned her Masters of Law from Georgetown University Law and JD from Southwestern University. She also holds a BS in mathematics from California State University, Northridge.

3) The Dow Chemical Company has appointed Amy Wilson as corporate secretary, effective February 1, 2015, as well as assistant general counsel. As secretary, she will replace Charles J Kalil, who will continue to serve as executive vice president and general counsel. Wilson continues to report to Kalil.

“Amy’s election to the role of corporate secretary is in recognition of her proven track record, not only in developing and maintaining best corporate governance practices to ensure board effectiveness, but also for her role as a trusted advisor on a wide range of issues,” said Kalil.

Wilson joined Dow’s Legal Department in 2000 in Purchasing and Human Resources Law. In 2002, she transferred to the Corporate and Financial Law section and in 2006 she moved to Dow’s Europe legal department in Horgen, Switzerland. Upon her return from Europe in 2008, she joined the Office of the Corporate Secretary and was elected assistant secretary by the Board of Directors. Wilson was named director of the Office of the Corporate Secretary in 2013.

Prior to joining Dow, Wilson was an attorney at the firm of Currie Kendall, PC. She holds a Bachelor of Arts from Michigan State University and a Juris Doctor degree from the University of Michigan Law School.

4) Huntington Ingalls Industries (HII) has appointed Kellye Walker as corporate vice president and general counsel and Charles R Monroe, Jr  as corporate vice president, associate general counsel and secretary. Huntington Ingalls Industries designs, builds and manages the life-cycle of the most complex nuclear- and conventionally powered ships for the U.S. Navy and Coast Guard.

As corporate vice president and general counsel, Walker will report to HII president and CEO Mike Petters and will lead the company’s law department and outside counsel, whose activities cover compliance. She previously served as senior vice president, general counsel and at American Water Works Company in Voorhees, NJ. Prior to that she was vice president and general counsel at Diageo North America and senior vice president, general counsel and secretary for BJ’s Wholesale Club.

Walker holds a bachelor’s degree from Louisiana Tech University and a JD from Emory University School of Law. She is a member of the American Bar Association and a former board member of the Association of Corporate Counsel.

5) Charles Monroe  has been named as corporate vice president, associate general counsel and secretary at Huntington Ingalls Industries. In his first two roles he wiill report to Walker, while as secretary he will report to the board of directors. He has served as a director, assistant general counsel and assistant secretary in HII’s legal department since 2011. Before joining HII, he was a partner with K&L Gates and Hunton & Williams, both in Charlotte.

Monroe earned a bachelor’s degree from the University of North Carolina at Chapel Hill and a JD from the George Washington University Law School.

Walker and Monroe succeed Bruce N Hawthorne, who has retired as corporate vice president, general counsel and secretary.

6) Sharon Underberg has been promoted to general counsel and elected secretary and senior vice president at Eastman Kodak Company. She has also joined Kodak’s Executive Leadership Team and reports to Kodak’s CEO, Jeff Clarke. She succeeds Patrick Sheller, who has left Kodak to pursue a new opportunity.

Underberg previously served as Kodak’s deputy general counsel, and has been an attorney with the company for 25 years. Prior to joining Kodak, she spent several years as an associate in the New York office of international law firm Fulbright & Jaworski (currently Norton Rose Fulbright).

She has led the legal team on numerous deals, including the completion of the acquisitions of the Kodak Polychrome Graphics (KPG) and NexPress joint ventures and the divestiture of the Health Imaging business.

She was also an instrumental part of the team that led the company through its Chapter 11 restructuring, providing advice on a wide range of contractual, litigation, financing and divestiture activities. She also spent two years in the Corporate Secretary’s Office, working with the board of directors on matters related to corporate governance, executive compensation and SEC reporting and disclosure matters.

Underberg has a BA in political science from Brandeis University and a J.D from the University of Pennsylvania School of Law.

7) Lisa Iglesias has been appointed as executive vice president and general counsel at Unum Group. She will succeed Liston Bishop III, who will retire at the end of March 2015.

Iglesias will oversee Unum’s departments of law, government affairs, audit and compliance and is based in Chattanooga, Tenn. She joined the provider of financial protection benefits in January from WellCare Health Plans in Tampa, Florida, where she served as senior vice president, general counsel and corporate secretary.

She has more than 20 years of legal experience across corporate governance, securities, commercial transactions, litigation and regulatory. Prior to working at WellCare, Iglesias was general counsel at Spherion Corp, general counsel at Nordstrom and an associate with Greenberg Traurig. She began her career as a tax specialist with KPMG before receiving her law degree from the University of Miami. She is a member of the bar in multiple states and a Certified Public Accountant.
