Key findings
- Almost two thirds (64 percent) of respondents taking part in an online poll ‘strongly agree’ with the statement: ‘Governance teams need to be more agile in their approach to risk management in today’s environment’.
- A quarter of respondents say cyber-security is the top issue in terms of its impact on their company’s governance activities, with a further 18 percent placing it second and 14 percent third.
- A company may have to respond to a short-term crisis such as an emergency CEO succession, a government investigation or a pandemic, or longer-term change such as regulation or new technology. Each requires similar preparations but also its own ingredients.
- Important elements of an agile governance framework include board bylaws and committee charters, director skills and experiences, group dynamics, emergency playbooks and director training.
- Crisis playbooks, charters and bylaws should be reviewed regularly and refreshed as necessary to take account of changing circumstances.
- It is important to watch what peer companies are doing with their board documents and other governance elements and to consider investor feedback around governance.
