Latest personnel moves at Aflac, Neiman Marcus and Tiffany
Audrey Boone Tillman 1) Aflac appointed Audrey Boone Tillman as general counsel on May 5, replacing Joey Loudermilk, who will remain with the insurance company until the end of 2014 as a senior advisor. Tillman joined Aflac in January 1996 as a member of the legal department and became vice president and senior associate counsel of the legal division in 2000. Her work as legal counsel to the human resources division led to her promotion to senior vice president and director of human resources in August 2001 and ultimately to her recent position of executive vice president of corporate services in 2008. Before joining Aflac, Tillman was an associate professor at North Carolina Central University School of Law. She also served as a federal judicial law clerk to Judge Richard C. Erwin, US District Court for North Carolina. Tillman holds a B.A. in political science from the University of North Carolina at Chapel Hill and a J.D. from the University of Georgia School Of Law. |

Nancy Saltzman 2) EXL announced Nancy Saltzman’sappointment as EVP, general counsel and company secretary on April 21. She will assume responsibility for regulatory reporting, contracts and intellectual property matters and will also join the business process solutions provider’s executive committee. Saltzman previously served as senior vice president, general counsel and secretary at Westcon Group, a distributor of unified communications, network infrastructure and security solutions. She was also co-head of compliance. Prior to joining Westcon Group in 2005, she was a corporate associate for capital markets and merger and acquisition at Dewey Ballantine, and associate general counsel and vice president of investor relations at Chartwell Re Corp. Saltzman earned a B.A. from Amherst College and a J.D. from Hofstra University School of Law. |

Adam Brotman 3) Neiman Marcus Group announced on May 7 the appointments of Adam Brotman, Phillipe Bourguignon and Vivek ‘Vic’ Gundotra to its board of directors, just four months after the company confirmed security breaches of its credit card payment system. Brotman is chief digital officer for Starbucks, responsible for mobile and mobile payments, web, card, loyalty, e-commerce, wi-fi, and the Starbucks Digital Network. Before joining Starbucks in 2009, he held key leadership positions at digital media companies Corbis and PlayNetwork. Bourguignon is currently vice chairman of Revolution Places and CEO of Exclusive Resorts. Previously, he was co-CEO of the World Economic Forum in Davos and chairman and CEO of Euro Disney. He also served as chairman and CEO of Club Med, is on the Vinfolio board and previously served on the boards of eBay and Zipcar. Gundotra most recently served as senior vice president, social for Google, where he had responsibility for Google+, Google’s social networking and identity service. Prior to joining Google in 2007, he was general manager of platform evangelism at Microsoft. |

Jon Einsidler 4) Okapi Partners on May 2 named Jon Einsidleras a managing director to work for the proxy solicitation firm’s growing list of clients involved in proxy contests, mergers, tender offers and other investor response campaigns. Einsidler’s appointment, following Michael Fein’s hiring in March, brings Okapi's senior management team to seven executives. Einsidler has been engaged in investor response campaigns and proxy solicitation work for more than 20 years. Prior to joining Okapi, he spent more than 14 years at Georgeson as a senior managing director, three years as a partner with Laurel Hill Advisory Group, and three years with AST Phoenix Advisors, where he was one of the founding partners. He has worked on some of the largest hostile takeovers in history, including Conrail-CSX, ITT-Hilton, TRW-Northrop and PeopleSoft-Oracle. He founded Georgeson Securities Corp. and Laurel Hill Securities and served on AST Investor Services’ board. Einsidler also spent 12 years as an investment banker, most notably with EuroPartners Securities Corp. as vice president and head for corporate finance. He holds a B.A. from Dartmouth College and an MBA from MIT’s Sloan School of Management. |

Leigh Harlan 5) Tiffany & Co. announced on April 14 Leigh Harlan’s promotion to senior vice president, secretary and general counsel, effective May 22. She will succeed Patrick Dorsey, who has decided to retire after 29 years as the company’s general counsel and secretary. Harlan will have responsibility for Tiffany’s worldwide legal affairs and will report to Chairman and CEO Michael Kowalski. Harlan joined Tiffany in 2012 from Cravath, Swaine & Moore, where she practiced corporate, transactional and finance law. She has a B.A. from Boston College, a Master’s from Harvard University and a law degree from the Duke University School of Law. |

Drew Ognall 6) Umpqua Holdings Corp., the largest community bank in the western US, has named Drew Ognall executive vice president, general counsel, and corporate secretary. Ognall will report to CEO Ray Davis and work closely with Umpqua's executive management and board of directors in overseeing all aspects of legal services, as well as compliance and BSA/AML programs. Ognall replaces outgoing EVP and general counsel Steven Philpott, who retired at the end of April. Before joining Umpqua, Ognall was a shareholder and member of Lane Powell PC's board, focusing on securities, corporate governance, mergers and acquisitions, corporate finance, executive compensation and general business matters, with an emphasis on financial institutions. |
