James Killerlane has joined American Express as corporate secretary and chief governance officer.
According to LinkedIn, where he announced the move, Killerlane was most recently corporate secretary, managing director and deputy general counsel at BNY Mellon, where he has served since 2019.
Before that, he was head of securities and corporate governance at American International Group for more than seven years. Killerlane was previously managing director at Morgan Stanley and before that senior vice president at Lehman Brothers. Ahead of moving in-house, he was an attorney with Chicago law firm Winston & Strawn.
An American Express spokesperson had no comment.
Killerlane succeeds Kristina Fink, who recently has joined CVS Health as senior vice president, chief governance officer and corporate secretary.
She had spent seven years at American Express, most recently as vice president, corporate secretary and chief governance officer. In that role she led a team providing governance support to the American Express National Bank, its committees and global subsidiaries and was a member of the general counsel’s organization and the company’s ESG steering committee.
Before American Express, Fink spent more than three years at Guardian Life, most recently as assistant corporate secretary and interim chief of staff to the general counsel. She had earlier been an attorney with law firm Clifford Chance.
In her new role with CVS Health, Fink engages with investors on governance-related matters and oversees the annual proxy statement process. She also provides legal oversight for corporate and securities matters, including SEC and NYSE compliance, in addition to providing legal support for treasury, corporate finance, compensation and benefits issues.
