The Dow Chemical Company (Dow) has named Amy Wilson, the company’s corporate secretary and associate general counsel, as its general counsel-elect in the wake of Charles Kalil announcing his retirement.
Kalil, executive vice president and general counsel of Dow, special counsellor to the executive chair and general counsel for the materials science division of DowDuPont, has elected to retire from the company later this year following more than 38 years with Dow.
Wilson will assume responsibilities for the materials science division and be general counsel-elect for the future Dow company, upon Kalil’s retirement. She was appointed to her current role in April 2017, having joined Dow’s legal department in 2000 providing legal counsel to purchasing and human resources and later taken on a series of roles. She joined the office of the corporate secretary and was elected assistant secretary by the board of directors in 2008 and named director of the office of the corporate secretary in 2013. She was elected corporate secretary by the board in February 2015.
Dow is a subsidiary of DowDuPont, the holding company comprising Dow and DuPont – a merger that was completed last year – with the aim of forming three independent, publicly traded companies in agriculture, materials science and specialty products.
‘Chuck has been an integral member of my executive leadership team and of Dow’s transformative journey throughout his 14-year tenure as general counsel. His wise counseling, expertise and successful leadership of the legal department, as well as his board and corporate governance support, guided Dow through some of the most monumental milestones in our history,’ says Andrew Liveris, chair and CEO of Dow and director and former executive chair of DowDuPont.
‘Amy is already a trusted adviser and well-respected leader,’ says Jim Fitterling, CEO-elect for Dow and COO of DowDuPont’s materials science division, in a statement. ‘Her contributions have been key to the successful culmination of Dow’s strategic transformation. We continue to place our confidence in Amy and her counsel as we navigate the complexities of a fast-paced and ever-changing industry. I look forward to her elevation on the executive leadership team and working together to build the new Dow.’
